Director of Tax

$150,000 - $225,000 plus bonus

The Role:

A global private equity firm with an over 20 year track record is looking to hire a Director of Tax to oversee tax restructuring and compliance for the firm.  The role will entail assisting in the structuring of the Funds’ private portfolio investments as well as future Fund vehicles and will provide an opportunity to oversee all areas of the Funds’ tax compliance, to work with the firm’s legal and deal teams, and to liaise regularly with external legal, tax and audit advisors.

Job  Description:

• Engage and collaborate closely with deal teams, legal team, finance team, and external tax advisors to assist in the tax structuring of portfolio investments globally and to establish blocker structures if required.

• Review new entity structures and oversee associated tax filing requirements.

• Undertake ASC 740 analysis of portfolio positions and identify local tax exposure in jurisdictions in which the firm invests.

• Research and keep finance and deal teams as well as firm management apprised of pertinent domestic and international tax pronouncements, developments and tax issues relating to our business. Coordinate with external tax advisors to provide periodic updates.

• Oversight of the firm’s international, federal, state and local tax compliance and management of the day-to-day relationships with external tax compliance firms.

• Understand and monitor compliance with tax provisions of Fund LPAs (e.g. avoidance of UBTI, ECI and FIRPTA), ensure continued compliance with FATCA, CRS and conduct PFIC analysis on portfolio companies.

• Review Fund tax allocations and book to tax adjustments compiled by external tax team. Maintain tax basis calculations for LPs.

• Experience with tax issues such as OID and debt modification and withholding issues in connection with FDAP, ECI and the portfolio interest exception.

• Assist in responding to requests from tax authorities, for both corporate and fund inquiries.

• Monitor whether Fund or GP tax distributions are payable and calculate such distributions.

• Collaborate with firm finance team in the preparation of annual tax estimates for LPs, GPs, and holders of management company economic interests.

• Engage with third parties for appropriate transfer pricing studies.

• Assist with tax planning/tax distributions for the management company and its subsidiaries and respond to any IRS or state notices and inquiries.


Required Skills:

• Undergraduate degree in accounting coupled with CPA, MS in Tax or MBA.

• Minimum 10-15 years of a combination of PE/VC/hedge fund industry and public accounting tax work experience.

• Experience with international tax issues and ability to research tax issues as necessary.

• Effective communicator; oral and written communication skills a must.

• Exceptional attention to detail, strong analytical skills and a demonstrated work ethic.

• A high level of professionalism, ethics, confidence and a commitment to a team approach. Must be comfortable working in a small team setting independently and remotely.
